The Birmingham Insurance Company was organized on April 17, 1884 with $100,000 in capital stock and John Henley as president.

Henley was joined on the board of directors by Henry Caldwell, W. A. Handley, Andrew Marre, William Hood, G. S. Mooar, Benjamin Roden, James Allen and W. S. Brown.
